Terms of Service

These Terms of Service (“Terms”) govern your use of Resonote (“the Service”), operated by Resonote (“we”, “our”, or “us”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 13 years of age to use Resonote. By using the Service, you represent that you meet this requirement. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
2. Your Account
You are responsible for maintaining the confidentiality of your account credentials. You are responsible for all activity that occurs under your account. Notify us immediately if you suspect unauthorised access to your account. We reserve the right to suspend or terminate accounts that violate these Terms.
You must provide accurate account information and keep it reasonably up to date.
3. Acceptable Use
You agree to use Resonote only for lawful purposes and in accordance with these Terms. You must not:
- Submit YouTube URLs, transcript text, or other content for content that you do not have the right to process or analyse.
- Use the Service to infringe any third party's intellectual property rights.
- Attempt to reverse-engineer, scrape, or disrupt the Service or its infrastructure.
- Use the Service to generate, store, or share content that is unlawful, harmful, abusive, or offensive.
- Use automated tools or bots to access the Service without our written permission.
- Attempt to bypass usage limits, access controls, or security measures.
- Use the Service in a way that could damage, disable, overburden, or impair the Service or other users' access to it.
4. Submitted Content and Third-Party Rights
Resonote processes content that you submit, including YouTube video URLs, extracted transcripts, and transcript text that you paste directly into the Service, in order to generate AI-powered notes. You are responsible for ensuring that you have the right to submit, process, analyse, and use that content, and that your use complies with applicable law, platform terms, and third-party rights, including intellectual property rights.
AI-generated notes are derived from video transcripts and are intended for personal learning and reference. They are not a substitute for, or reproduction of, the original content.
5. Intellectual Property
Resonote and its underlying technology, design, and branding are owned by us and protected by applicable intellectual property laws.
You retain ownership of any notes and content you create using the Service. By using the Service, you grant us a limited, non-exclusive licence to store, process, reproduce, and display your content solely to provide, maintain, secure, and improve the Service to you.
AI-generated notes produced by the Service are provided for your personal use. We make no representations about their accuracy or completeness.
6. Service Availability and Changes
Resonote is provided on an 'as is' and 'as available' basis. We do not guarantee uninterrupted or error-free access to the Service. We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice.
As the Service evolves, we may introduce paid features. If and when we do, the terms applicable to paid features will be clearly communicated before any charges are incurred.
We may also impose or change usage limits, feature restrictions, or access conditions from time to time.
7. Disclaimer of Warranties
To the fullest extent permitted by law, Resonote is provided without warranties of any kind, express or implied. We do not warrant that the Service will be accurate, reliable, complete, or fit for any particular purpose. AI-generated content may contain errors and should not be relied upon as a sole source of information.
8. Limitation of Liability
To the fullest extent permitted by applicable law, Resonote and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including loss of data or loss of profits. Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim (which for free users is zero). Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
9. Termination
You may stop using the Service at any time. If account deletion functionality is made available, you may also request or initiate deletion of your account in accordance with the options provided in the Service or by contacting us.
We reserve the right to suspend or terminate your access to the Service at our discretion, including for violation of these Terms, without liability to you.
Upon termination, your right to use the Service ceases. Sections 5, 7, 8, and 10 survive termination.
10. Governing Law
These Terms are governed by the laws of Singapore, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Singapore.
11. Changes to These Terms
We may update these Terms from time to time to reflect changes to the Service, our business practices, or applicable law. When we do, we will post the revised Terms on this page and update the effective date above. If we make material changes, we may provide additional notice, such as by email, in-product notice, or other reasonable means. By continuing to access or use the Service after the updated Terms become effective, you agree to the revised Terms.
